gentz Terms & Conditions

These Terms are an agreement between you and Orion Technology Enterprises, Inc. ("Orion", "we", "us") for gentz, our mobile app for controlling Hermes, Claude Desktop, gentzo and Codex from your phone. By using gentz you agree to these Terms and to our Privacy Policy. If you use gentz for a business, you accept these Terms for that business and confirm you may do so.

1. Who can use gentz

• You must be at least 18 years old and able to form a binding contract.
• Keep your phone, your login details and your pairing private. You're responsible for what happens through gentz on your devices and accounts.
• Only pair gentz with computers and apps you own or are allowed to control.

2. The service

gentz lets you send messages and instructions to apps on your computer, follow their work, and get alerts on your phone. The apps themselves (Hermes, Claude Desktop, gentzo, Codex and others) run on your computer and do the work. gentz needs your computer to be on and reachable to control them.

We may change, improve or discontinue features. Apps we don't make may change in ways that stop gentz from working with them; we'll try to keep up, but can't promise continued support for any third-party app.

3. gentzo

When you use gentz with gentzo, the gentzo Terms & Conditions also apply, including its subscription, billing and team rules. Members of a gentzo business see only the agents and runs they've been given access to.

4. Fees

If gentz or any of its features is paid, we'll show you the price and billing terms before you buy. Fees for gentzo, and for the apps and AI providers you control through gentz, are separate and are billed under their own terms.

5. Your responsibilities

• Instructions you send from gentz are carried out by apps on your computer, which may read files, run commands, change code or take actions on your behalf. Review what you ask for and what you approve.
• AI output can be wrong, incomplete or out of date. Check results before relying on them, especially for financial, legal, medical, employment or safety decisions.
• Follow the terms of each app and AI provider you use through gentz.
• Don't use gentz to break the law, infringe others' rights, access systems without permission, harm or deceive people, or interfere with gentz or our services.
• Keep your own backups of important data.

6. Your content

You own what you send through gentz and what your apps and agents produce. We don't claim ownership of your content and don't use it to train AI models.

7. Third-party apps and services

Hermes, Claude Desktop and Codex are made by other companies, and gentz isn't made or endorsed by them. Their terms and privacy policies apply to your use of them, and we aren't responsible for their availability, output or actions. The same goes for app stores and any other services gentz works with.

8. Our software and intellectual property

We grant you a personal, non-exclusive, non-transferable licence to install and use gentz under these Terms and the terms of the app store you got it from. gentz, its design and its branding belong to Orion. Don't copy, resell, reverse engineer (except where the law allows) or remove notices from the software.

9. Suspension and termination

You may stop using gentz at any time by unpairing it and deleting it from your phone. We may suspend or end your access if you breach these Terms or use gentz in a way that risks harm to others or to the service. Sections that by their nature should survive (such as disclaimers and limits of liability) survive termination.

10. Disclaimers

gentz is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don't promise that gentz will be uninterrupted or error-free, that your computer will always be reachable, or that the apps you control will complete every task.

11. Limitation of liability

To the extent the law allows, Orion won't be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for any claim relating to gentz is limited to the amount you paid us for gentz in the 12 months before the claim. Some jurisdictions don't allow these limits, so they may not fully apply to you.

12. Indemnity

You'll defend and indemnify Orion against claims arising from your content, the computers and apps you control, actions you instructed or approved, or your breach of these Terms or the law.

13. Changes to these Terms

We may update these Terms. For material changes we'll tell you in the app or by email before they take effect. Continuing to use gentz after changes take effect means you accept them.

14. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Delaware, unless the law where you live gives you the right to bring claims elsewhere. We encourage you to contact us first so we can try to resolve any issue directly.
